You agree that you will:

• Not upload unlawful, infringing, defamatory, or harmful content
• Not use services for illegal purposes
• Not attempt to reverse engineer proprietary systems

4. Intellectual Property

All content, software, branding, AI systems, website design, text, graphics, logos, and technology are the exclusive property of New Media AI, Inc., unless otherwise stated.

Users retain ownership of content they upload but grant the Company a limited license to use such content to provide services. AI-generated outputs may be subject to platform-specific licensing limitations.

5. Payment Terms

Fees for services are disclosed prior to purchase. All payments are due at time of purchase unless otherwise agreed in writing. We reserve the right to suspend services for non-payment.

6. Refund / No Refund Policy (Enhanced)

• Due to the customized, digital, and biometric nature of services, all payments are final once processing begins.
• No refunds will be issued after recording sessions, biometric capture, or AI rendering begins.
• No refunds will be granted for dissatisfaction with subjective creative outcomes.
• Chargebacks may be treated as breach of contract, and the Company may pursue lawful remedies.

7. Disclaimers

Services are provided “AS IS” without warranties of any kind, express or implied. We do not guarantee specific business results, income, marketing performance, or continuous or error-free service.

8. Limitation of Liability

To the maximum extent permitted under Florida law, New Media AI, Inc. shall not be liable for indirect, incidental, special, consequential, or punitive damages. Total liability shall not exceed the amount paid by the customer in the prior twelve (12) months.

9. Indemnification

You agree to indemnify and hold harmless New Media AI, Inc. from any claims arising from your misuse of services or violation of these Terms.

10. Age 18+ Requirement

All services are intended for individuals 18 years of age or older. By using the services you represent you are at least 18.

11. AI Output Misuse; Criminal Conduct

You agree not to use AI-generated outputs for fraud, impersonation, harassment, defamation, election interference, financial deception, or other unlawful conduct. You acknowledge misuse may violate federal or state criminal statutes. The Company reserves the right to cooperate with law enforcement and disclose information when legally required.

12. Model Release (Terms)

By submitting recordings or likeness materials, you grant the Company a worldwide, royalty-free, non-exclusive license to use your likeness to produce your deliverables and to display completed outputs for portfolio purposes (subject to opt-out as described in the Privacy Policy). The Company will not sell or commercially license your likeness to third parties without separate written consent.

13. FTC Marketing & Endorsement Disclosures

The Company intends to comply with FTC guidelines regarding endorsements, testimonials, and advertising transparency. Testimonials are not guarantees of results. Any material relationship with endorsers will be disclosed where required. Users agree not to falsely represent AI-generated content in a manner that violates applicable law or FTC guidance.

14. DMCA Takedown Procedure

If you believe any content on our website infringes your copyright, you may submit a DMCA notice to info@myavatarclone.com including: (i) your name and signature, (ii) identification of the copyrighted work, (iii) URL/location of the allegedly infringing material, (iv) a good faith statement, and (v) a statement under penalty of perjury that the information is accurate and you are authorized to act.

We reserve the right to remove content and terminate repeat infringers.

15. DMCA Anti-Circumvention; Platform Indemnity

You agree not to circumvent technological protection measures, reverse engineer, scrape, decompile, or replicate proprietary systems. Attempts to bypass safeguards may violate the Digital Millennium Copyright Act (17 U.S.C. §1201).

You agree to indemnify the Company from any platform bans, removals, account suspensions, or penalties arising from your distribution or use of AI-generated content on third-party platforms.

16. Non-Disparagement

You agree not to publish knowingly false or malicious statements about New Media AI, Inc. This provision does not restrict truthful statements or legally protected speech.

17. Liquidated Damages

You acknowledge that unauthorized misuse of proprietary systems or willful violation of these Terms may cause significant harm that is difficult to quantify. You agree to liquidated damages of $25,000 per violation, or actual damages if greater, to the maximum extent permitted by law.

18. Governing Law & Venue

These Terms shall be governed by the laws of the State of Florida. Exclusive jurisdiction and venue shall lie in Miami-Dade County, Florida.
